Buyers in the secondary market generally fall into one of three categories:

Professional Financial Advisors who were and are active in the primary offerings of limited partnerships and unlisted REITs.
2
Institutional Investors who buy for their own accounts, holding partnerships for long-term gains, or packaging partnerships for resale by assembling portfolios of various partnerships and unlisted REITs.
3
Sophisticated Individual Investors who buy and sell for their own account, do their own research, and fully understand the risks inherent in these investments.

As a buyer, there are several attractive reasons to buy on the secondary market:

Diversification of Investment Portfolios.
Value relative to underlying net asset values
Opportunity to buy partnerships and unlisted REITs that have an established track record.
Ability to make informed investment decisions based on performance criteria.

Value and Discounted Prices
Discounted prices relative to underlying net asset values continue to be available by purchasing in the secondary market.

Opportunity
Primary offerings are usually unspecified pools of cash. Buying established portfolios have the benefits of a track record with fewer surprises. These circumstances create an opportunity for buyers to make informed investment decisions based upon performance criteria.

Cost Averaging
Lower average cost per unit of partnerships can be accomplished by adding seasoned partnerships to a portfolio of partnerships acquired in the primary market.

Shorter Holding Period
Purchases can be targeted toward partnerships that are older and closer to final liquidation, significantly reducing the holding period of the investment.
